1) When they say to bring a CD player with headphones, do ear buds (like those that come with Ipods) count? Dumb, I know, but I want to make sure.

2) Are the language tests with listening really that much harder than other SAT IIs? I'm taking German with Listening and I've heard that language tests are significantly harder because people who are fluent take them. Is this true? Has anyone had experience with the language tests?

1) Not positive. I would think they'd be fine, but you might want to bring a pair of regular headphones just in case. Earbuds are probably fine, though. I don't see why they'd be banned.

2) That's usually only true for the languages that are rarely offered in schools, like Chinese and Korean. I think French, Spanish, and German have both fluent and non-fluent speakers taking them. Also, I believe colleges take your score in context of your ability; if you are fluent, a perfect score won't be regarded as highly as a decent score from a non-fluent speaker.
