<p>Often, “not litigation”. As in, you work on transactions - M&A, contracts, licensing, etc.</p>
<p>When discussing commercial/corporate law, there really two kinds of very general categories of work. The first is day-to-day advice, basic contract drafting and negotiation, compliance matters, pricing strategy and compliance, corporate governance, etc. The second is transactional matters, which are generally larger in scale and more transformative in scope, including some securities transactions (e.g., IPOs, debt issuances, recapitalizations, refinancings), private equity financings, mergers and acquisitions, joint ventures, joint development arrangements, and other work like this.</p>
